Taken together, the permissions attaching to an Argentina crypto license cover virtually the whole field of digital-asset operations. Speed of entry is therefore only part of what the acquisition delivers, since the owner also obtains a position in the Latin American market together with the instruments required to build a business from it.
Argentina Crypto License: Acquisition or Fresh Registration
Investors decide between the two on three grounds: their objectives, the time available and their tolerance for regulatory uncertainty. Where rapid entry and a light administrative burden are the priority, an Argentina crypto license for sale is the more rational option. The target already appears on the PSAV Registry, Argentina's register of VASPs. It has cleared every check by the Financial Information Unit (UIF), and its record of compliance with the regulator's requirements is documented. - what the CNV register and the UIF records show for it;
- whether its constitutional documents are current;
- its beneficiaries and members, verified against the state registers;
- its tax filings, together with any indebtedness they disclose;
- its transaction history and the notifications it has made to the UIF.
Buyers and their counsel treat a target that comes through that examination without adverse findings as a clean asset, and it may pass to its new owner free of restriction. Where that examination turns up breaches of AML procedure, the regulator is entitled to suspend PSAV status until the deficiencies have been remedied.
An acquirer compares the economics of the two routes as well. Acquisition costs more than fresh registration, and the premium buys speed of entry and reduced administrative exposure. An applicant registering from the beginning incurs government fees and professional costs, and pays for the mandatory translation of documents. An acquirer finds those items absorbed into the purchase price, along with the compliance framework the vendor has put in place and the bank checks already done. Reputation is a further consideration. A vendor with an established company can point to its listing in the official CNV databases, to a banking history, to reports filed on schedule and to live client contracts.

Demand for payment solutions, custody services and innovative financial products is high, and a flexible tax regime sits alongside the ability to settle internationally.
Many entrepreneurs and investors who follow the conventional path of incorporating first and licensing afterward encounter substantial legal complications and compliance exposure. A crypto exchange license for sale offers an alternative that avoids most of them, and the strategic case for that alternative rests on two points.
- Registration of a new legal entity may take several months, whereas a company already in operation permits the owner to begin trading within weeks.
- The acquirer inherits a legal and organizational infrastructure that is fully constituted: the corporate documents, internal policies aligned to AML/KYC requirements and software prepared for digital-asset transactions.
The acquisition brings further strategic gains. Above all it establishes business legitimacy across the Latin American region, and that standing supports the acquirer's position with international counterparties and financial institutions and strengthens client confidence. Argentina combines a settled legal system with a high degree of transparency in its regulatory arrangements, and a business therefore operates on terms that can be relied upon. Predictability of that kind counts for a great deal in a field that moves as quickly as digital assets do.
The acquirer should factor in operational flexibility as well. A registered entity is not confined to a single activity, and its owner may accordingly work across several lines of digital-asset business at once. The arrangement suits equally well an early-stage venture seeking rapid access to the market and an established business pursuing scale or diversification.
VASP Argentina: How the Regime Is Built
Since 2024 the law has required every provider of virtual-asset services to be entered on the dedicated PSAV Registry, which the national regulator maintains. That entry became the central condition of lawful dealing in digital assets. No prospective acquirer should proceed before checking two things: the entry itself, and compliance with the financial-monitoring rules.
Law No. 27,739 introduced the concept of the virtual asset service provider, or VASP, into Argentine law, while Law No. 25,246 binds every participant in the digital-asset market to AML/CFT obligations. The CNV gave practical effect to those provisions through Resolution 994/2024, which created the PSAV Registry, while the UIF adopted Resolution 49/2024 in parallel and brought registered providers within the class of entities subject to financial control.
The regulator does not treat entry on the register as a license in the traditional sense, and the distinction is material. The CNV states expressly that listing an entity neither confers a license upon it nor subjects it to continuous supervision. A registered provider is nonetheless obliged to maintain economic presence on Argentine territory, which is understood to mean premises, personnel and systems for recording transactions, and to report to the UIF at regular intervals.
An acquirer of an Argentina crypto license accordingly takes over an asset that has completed every mandatory legal formality and carries a unique identification number on the CNV register. The investor obtains lawful operating capacity and the ability to commence trading promptly under the protection of Argentine law. Within 10 business days the incoming owner must in turn report to the CNV any change in the persons exercising control. That requirement preserves transparency of ownership and prevents control from passing unobserved.
Registration confers no direct right to deal in securities or to issue tokens equated to investment instruments, since separate CNV rules govern those activities. It does permit the provider to supply payment and digital-asset services lawfully, without risk of breaching local law, and it opens legitimate access to the Argentine client base and to the country's financial infrastructure.
Argentina Crypto License Requirements
One essential point must be emphasized at the outset: an incoming owner does not escape the rules in force merely because the company is registered already. On completion the owner must show afresh that its new company meets the PSAV Registry conditions, then lodge the corresponding notification with the CNV on TAD, the state's digital filing platform. Registrants file every submission and all correspondence with the regulators on that platform.
The Argentina crypto license requirements rest on genuine economic presence and on a transparent corporate structure.
- The entity must maintain registered premises within the country, employ personnel and operate a system of internal control and compliance.
- The applicant must identify its ultimate beneficial owners (UBOs) and show the origin of the capital.
No statute sets a minimum for the share capital. The CNV, and the banks with it, will nonetheless examine the strength of the funding model and the entity's capacity to remain solvent. Without satisfactory evidence that the sources of funds are transparent and the finances sound, the regulator will refuse registration.
That same 10-business-day filing with the CNV covers every change among directors and shareholders and every change of registered address. Argentine supervisors examine the compliance function of digital-asset businesses with particular care. A registered provider must appoint an AML compliance officer. It must also operate a system of internal control. Through that system it monitors each digital-asset transaction and keeps records for a minimum of five years; any suspicious transaction goes to the UIF without delay. For an incoming owner this means detailed due diligence on how the target behaved earlier, since any breach that later comes to light passes to the acquirer, and the audit accordingly carries decisive weight before the parties sign.
An investor will normally choose between two corporate forms, the SRL (Sociedad de Responsabilidad Limitada) and the SA (Sociedad Anónima), each with its own characteristics. Smaller businesses and early-stage ventures more often select the SRL, whereas the SA suits projects whose founders intend to raise external capital. An SRL requires a minimum of one member, an SA a minimum of two shareholders. Both forms require a locally resident director, and that appointment satisfies the economic-presence criterion.

How the Acquisition Proceeds
Because the national regulators grant the status and retain control over it, any transfer of rights calls for formal notification and for clearance with the competent authorities. Engaging qualified advisers is therefore essential if the transaction is to be legitimate and commercially secure.
Execution of the Non-Disclosure Agreement
The parties begin with a non-disclosure agreement (NDA). Until the parties execute it, the prospective acquirer has no right of access to the entity's key internal data. The vendor then releases the full documentary package, which comprises the constitutional documents, the current PSAV registration, the financial statements, the contracts with clients and partners, and such further material as a comprehensive analysis of the business requires.
Due Diligence on the Target
The acquirer and the vendor then proceed to a full due diligence exercise, which establishes what the entity is genuinely worth and brings every material risk to the surface. Qualified lawyers and accountants examine how the company is structured and what its balance sheet shows. They review the obligations the target has assumed, its contracts with counterparties and its tax documentation, and they test its alignment with AML/KYC requirements. Undisclosed liabilities, litigation and regulatory exposure emerge at this stage, if there are any. The findings determine how safe and how commercially sound the purchase will be, and the parties rely on them in settling the terms.
Negotiation and Execution of the Share Purchase Agreement
Once the acquirer is satisfied with the audit, the parties move to a share purchase agreement (SPA). Five matters belong in the instrument.
- Purchase price
- Settlement mechanics
- Timing of the transfer of title
- Undertakings given by each party
- Liability for breach of those undertakings
The SPA formalizes the whole of what has been agreed and protects both sides, so that the prospect of a dispute after completion is materially reduced.
Registration of the Changes and Notification of the Regulators
At completion the parties place the transfer of control on the public record. They register the change of members, of directors and of ultimate beneficiaries, and that filing is mandatory if ownership is to remain transparent and the transactions lawful. Alongside the entries in the official registers, the acquirer must notify the national regulatory bodies that ownership and management have changed; those bodies include the financial-monitoring authority and the supervisory agencies. Late notification exposes the acquirer to legal risk and to financial penalty.
An investor pursuing a crypto company for sale looks hard at the speed of completion. Transparency of the asset matters just as much. A dependable intermediary matters here, one who runs the transaction from the first review through to the final filing. An acquirer proceeding on that basis reduces the likelihood of legal and financial difficulty and protects its own reputation, since the transaction remains transparent and legally sound throughout.
Tax Treatment of Providers and Investors
Persons and entities that supply digital-asset exchange services under an Argentina crypto license bear the full burden of taxation. For a VASP this means strict observance of the tax legislation and detailed accounting that records each stage of a digital-asset transaction.
Where an investor disposes of cryptocurrency held for more than one year, the gain is classified as income from the sale of property and attracts capital gains tax at between 15% and 20%. Value added tax applies to digital-asset activity at the standard rate of 21%, and that charge feeds through into what platforms are able to charge for their services, so that the cost of provision rises and end users may face higher prices. Local providers are correspondingly less competitive internationally, since foreign operators charge lower rates.
Corporate income tax on entities engaged in digital-asset activity is likewise progressive, and the federal scale sets the rate. An entity with income up to USD 15,502.51 pays the base rate of 25%. An entity with income above that figure but within USD 155,025.11 pays on a combined basis: the base-rate tax, plus a fixed supplement and a rate of 30% on the excess. An entity with income exceeding USD 155,025.11 pays 35%. The scale reflects the principle of progressive taxation and encourages larger businesses to distribute their financial flows more transparently.
